These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Giz Inc. ("Giz," "Company," "we," "us," or "our"), governing your access to and use of Giz Space, including our website, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility and Account

1.1 Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction. By using the Service, you represent that you have the legal capacity to enter into these Terms.

1.2 Account Registration

You must provide accurate and complete information during registration and keep it updated. You are solely responsible for all activities under your account and for maintaining the security of your credentials.

1.3 Account Security

Notify us immediately at support@giz.ai of any unauthorized access. We are not liable for losses resulting from compromised credentials unless caused by our breach of security obligations.

2. Service Description

2.1 Platform Overview

Giz Space is a cloud-based AI development platform providing:

  • Isolated Linux container environments ("Workspaces")
  • AI coding assistant integration
  • Web-based terminal and remote desktop (VNC) access
  • Code repository integration and development tools

2.2 No Service Level Agreement

Unless you have a separate Enterprise Agreement with specific uptime commitments, the Service is provided without any guaranteed availability, response time, or performance levels. We aim for reasonable availability but make no promises regarding uptime.

2.3 Service Modifications

We may modify, suspend, or discontinue any aspect of the Service at any time. For material changes affecting paid features, we will provide reasonable advance notice where practicable.

2.4 Beta Features

We may offer beta or experimental features ("Beta Features"). Beta Features are provided "as is" without warranty and may be discontinued without notice. Your use of Beta Features is at your sole risk.

3. Payment and Billing

3.1 Pricing

Current pricing is available on our website. All amounts are in U.S. dollars unless otherwise specified. Prices exclude applicable taxes, which you are responsible for paying.

3.2 Billing

  • Subscriptions are billed in advance on a recurring basis (monthly or annually).
  • Usage-based charges (e.g., AI tokens, compute credits) are billed in arrears.
  • Payments are processed by Stripe. We do not store full payment card numbers.
  • Failed payments result in immediate service suspension. Suspended workspaces are deleted after 7 days.

3.3 Refunds

Fees are generally non-refundable. However, if you cancel within 7 days of initial purchase and have not substantially used the Service, you may request a refund at support@giz.ai. We reserve sole discretion over refund requests.

3.4 Price Changes

We may change prices with at least 30 days notice. Continued use after a price change constitutes acceptance. If you disagree, you must cancel before the next billing cycle.

4. User Content and Data

4.1 Your Ownership

You retain all rights to your code, files, and data ("User Content"). We claim no ownership of User Content.

4.2 License to Us

You grant us a limited, non-exclusive, worldwide license to host, process, and display your User Content solely to provide the Service. This license terminates when you delete your content or account, except for copies in backups (retained for up to 30 days).

4.3 AI Processing

When you use AI features, your code and prompts are processed by third-party AI providers (e.g., Anthropic). Your data is not used to train AI models. AI providers may retain logs for safety monitoring as described in their privacy policies.

4.4 Backups

You are solely responsible for maintaining backups of your data. While we implement reasonable backup procedures, we do not guarantee data recovery. Regularly export your important files.

5. AI Services Disclaimer

5.1 AI Output Quality

AI-generated code, suggestions, and outputs ("AI Outputs") are provided for informational purposes only. AI Outputs may contain errors, bugs, security vulnerabilities, or inaccuracies. You are solely responsible for reviewing, testing, and validating all AI Outputs before use.

5.2 No Professional Advice

AI Outputs do not constitute professional, legal, financial, or security advice. Do not rely on AI Outputs for production systems, security-critical applications, or compliance-related decisions without independent review.

5.3 Intellectual Property

You are responsible for ensuring that your use of AI Outputs does not infringe third-party intellectual property rights. We make no representations regarding the originality or non-infringement of AI Outputs.

6. Acceptable Use Policy

6.1 Prohibited Activities

You may not use the Service to:

  • Violate any laws or regulations
  • Infringe intellectual property rights
  • Distribute malware, viruses, or harmful code
  • Engage in unauthorized cryptocurrency mining
  • Conduct network attacks (DDoS, port scanning, etc.)
  • Attempt to access other users' workspaces or our infrastructure without authorization
  • Store or distribute child sexual abuse material (CSAM)
  • Engage in harassment, abuse, or threats
  • Circumvent usage limits, access controls, or billing mechanisms
  • Use the Service for competitive benchmarking without consent
  • Resell or redistribute the Service without authorization

6.2 Resource Limits

Your use of compute, storage, and network resources is subject to fair use limits. We may throttle or suspend accounts that consume disproportionate resources or negatively impact other users. Specific limits are documented in your subscription plan.

6.3 Enforcement

We may investigate suspected violations and take appropriate action, including warning, suspension, or termination. We may report illegal activities to law enforcement.

7. Export Compliance

The Service is subject to U.S. export control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. sanctions (including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions), and that you are not on any U.S. government restricted party list. You may not use the Service for any purpose prohibited by U.S. export laws.

8. Third-Party Services

The Service integrates with third-party services including:

  • Anthropic: AI assistant (subject to Anthropic's usage policies)
  • Stripe: Payment processing
  • Google: OAuth authentication

Your use of third-party services is governed by their respective terms. We are not responsible for third-party service availability or their handling of your data.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • AI Outputs will be accurate, complete, or suitable for any purpose
  • Defects will be corrected or that the Service is free of viruses
  • Your data will not be lost or corrupted

Some jurisdictions do not allow disclaimer of implied warranties, so some of the above may not apply to you.

10. Limitation of Liability

To the maximum extent permitted by law, Giz shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business, or goodwill
  • Damages resulting from security breaches, data loss, or service interruptions
  • Damages arising from AI output errors, bugs, or security vulnerabilities

Our total aggregate liability shall not exceed the greater of (a) amounts paid by you in the 12 months preceding the claim, or (b) $100 USD.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Giz and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your use of AI Outputs in production or distribution to third parties

12. Termination

12.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You may delete your account, which will result in permanent deletion of your data after a 30-day grace period.

12.2 By Us

We may suspend or terminate your access immediately for: (a) violation of these Terms, (b) non-payment, (c) fraudulent activity, (d) as required by law, or (e) extended inactivity. For terminations not caused by your breach, we will provide reasonable notice where practicable.

12.3 Effect

Upon termination, your right to use the Service ceases immediately. Provisions that should survive (including disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, contact us at support@giz.ai. We will attempt to resolve disputes informally within 30 days.

13.2 Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules. Arbitration will be conducted in English, and the arbitrator's decision will be final and binding.

13.3 Class Action Waiver

You and Giz agree to resolve disputes only in your individual capacity, not as a plaintiff or class member in any class, consolidated, or representative proceeding.

13.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or other urgent matters. Small claims court actions are also permitted.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. For matters not subject to arbitration, you consent to the exclusive jurisdiction of state and federal courts in Delaware.

15. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days notice via email or in-app notification. Continued use after changes take effect constitutes acceptance. If you disagree with changes, you must stop using the Service.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and Giz regarding the Service.

16.2 Severability

If any provision is found unenforceable, it will be modified to the minimum extent necessary, and remaining provisions will continue in effect.

16.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.

16.5 Force Majeure

Neither party is liable for failures or delays due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or infrastructure failures.
